Upgrading Drupal

I am getting ready to change hosting and move up to a VPS hosting package, What is the best way to move my Drupal 7 site to the new host?

Is it best to copy the directory from my current host to the new VPS host? If so what all files and directories need to be copied over?

Or would it be best to install drupal there and mirror all the modules and settings and then copy the mysql database over?

Also any hints or advice for how to setup the VPS server would be greatly appreciated.

I've tried to update my Drupal 6 to Drupal 7. I've followed the instruction, but when I run the update.php I've got the following message:

I upgraded one of my smaller sites from Drupal 7.8 to 7.12. I lost my logo, my favicon and all images attached to articles. I had to re-upload them. That is going to be a major issue with my larger sites. Any way to upgrade without losing the images? I'm using fantastico in Cpanel on a shared server. I ran the upgrade from fantastico. It did not produce any any errors.

When I upgraded to Drupal 6.25 and at the same time upgraded to captcha-6.x-2.4, I got the following error:
