Updating to a new version...Please Help

Hello,

I just started a position at a company that uses Drupal for their website. This is my first time using Drupal and I have a few questions about upgrading it. The specific reason I want to upgrade it is to install a SEO module (also to keep the site up-to-date). I wanted to know that is I upgrade from Drupal 5.x to 7.x, what exactly in the terms of visualization would change on the site.

Database update runs with no errors but status report still shows "updates to install"

The status report for my site shows a red X next to the 'Database Updates' item, and shows the message 'out of date'. It also says "Some modules have database schema updates to install. You should run the database update script immediately."

When I click on the link to run the database update script, it appears to run OK without any errors, but the message still shows in the status report. I have run the script several times and the status report still shows the same message.

Error Message Ctools

I have installed Ctools and get the following message

Fatal error: Allowed memory size of 33554432 bytes exhausted (tried to allocate 30720 bytes) in /home/joesmith/public_html/sites/all/modules/ctools/page_manager/plugins/tasks/search.inc on line 84

how does one fix this plz and ty

PS....is the above because I don't have of the all of the modules for this module ? ie

Views content panes 7.x-1.0-rc1 Allows Views content to be used in Panels, Dashboard and other modules which use the CTools Content API.
Requires: Chaos tools (disabled), Views (missing)

CKEditor

I hope I am posting this in the correct forum. (Version 7.7 user here)

I have tried to install the CKEditor module but get the following message from

Administration >> Reports >> Status Report

CKEditor Unknown
CKEditor was not found at sites/all/modules/ckeditor/ckeditor

any ideas how I could fix this ?

cheers

Upgraded to Drupal 7but can't get a login page

Upgraded from Drupal 6 to Drupal 7
Now when I attempt to display a login box using http://sub2.mysite.com?q=user, a 404 File Not Found page is displayed and the browser address is "http://sub2.mysite.com/user/login". Any ideas on why the login box is not being called.
