My status report indicates:

Panels required Chaos Tool
Suite (CTools) API Version

with a big red "X"
Any suggestions.
There is no readme.

Update CTools. I'm not sure what's confusing about this.

I have the same issue, my CTools is -dev, Last updated: May 12, 2009.

Then it's possible you need to update Panels instead. Either way they must remain in sync.

The Panels modules is uptodate too. -dev version and Last updated: May 12, 2009.

BTW, when I open modules list page again after the messages show. The panels became uncheckable.

Then, I click Save Configuration before doing nothing and panels enabled.

it's odd...
