I wanna create a community-site that ll be something like an exchange net.
Administrator ll have the power to add points to new users and they can transfer points one to each - other.
Is user points module proper for something like this?

Yes, userpoints works fine for something like this.

There are a number of refactorings planned and partly already implemented on the 7.x-2.x branch which allow things like fieldable transaction, attaching points to other entities than users, having multiple types of points (not just different categories of the same thing) and decimal places support.

The last point is probably one of the biggest problems for virtual currencies as the module currently only supports integer points.

Note that the Userpoints contrib project (http://drupal.org/project/userpoints_contrib) contains a module called userpoints_donate which allows users to grant points to other users. Integration with commerce is also being worked in in the Commerce userpoints project.
