Is there any path to migrate from image assist to filefield/insert/filefield source ?

There are no supported projects that provide such a migration path. Though there are a set of PHP scripts that might help you get started. See the "Migrate from another module to FileField" section of the handbook: http://drupal.org/handbook/modules/filefield
