We have two At-Large positions on the Association Board of Directors - positions that are self-nominated and elected by the membership of the Drupal Association. Each year, one of those positions is up for election, and we look for candidates from the community to nominate themselves. Simply put, the At-large Director position is specifically designed to ensure community representation on the Drupal Association board. About the Association Board

The Drupal Association (DA) is the 501c3 nonprofit organization dedicated to accelerating the Drupal project, fostering the Community, and accelerating its growth. The Board of Directors has the responsibility to ensure the effective governance of fiscally sound programs as well as the strategic direction of the organization. The Board is governed by a set of by-laws and each member also commits to adhere to the Board Member Agreement which outlines expectations and responsibilities of the role. Board Members donate their time, talent, and treasure to help the Association meet our mission and also serve as enthusiastic advocates for the Association and the Drupal project itself. Board terms begin on 1 November each year.

Board members are required to attend all regular (typically held quarterly) and special (held as needed) board meetings and actively participate in at least one board committee. This commitment typically represents about 5 hours per month of active contribution. Board meetings are typically a mix of in-person and virtual. Board members are also required to hold a current Drupal Association membership.

Board members do not directly manage the DA staff or have direct oversight of the programs and initiatives - though the board is informed of all relevant updates. However, the Board is responsible for the management of the Chief Executive Officer and for setting the strategy which is put into an annual action plan by the DA staff.

There are fundamental legal duties for each individual board member (required by US law for all nonprofit organizations) which include:

  • Duty of Care — Each board member has a legal responsibility to participate actively in making decisions on behalf of the organization and to exercise their best judgment while doing so.
  • Duty of Loyalty — Each board member must put the interests of the organization before their personal and professional interests when acting on behalf of the organization in a decision-making capacity. The organization’s needs come first.
  • Duty of Obedience — Board members bear the legal responsibility of ensuring that the organization complies with the applicable federal, state, and local laws and adheres to its mission.

In addition to these legal obligations, there is a lot of practical work that the board undertakes. These generally fall under the fiduciary responsibilities and include:

  • Overseeing Financial Performance
  • Developing Strategy
  • Setting and Reviewing Legal Policies
  • Fundraising
  • Managing the Executive Director

Board Members tackle a variety of strategic objectives that include areas such as: increasing contribution, delivering thought leadership to the open source community, advocating for the increased use of Drupal, recruiting new members to the Drupal community, diversifying funding sources of the DA to ensure stability, and ensuring a robust volunteer program to scale impact and provide professional development.

Support for Board Members

We are aware that not every community member is in a financial position to travel to board events. For that reason, the board has a policy of providing financial support to those members (community elected or otherwise) who cannot afford the cost of travel to board events. At the same time, we do ask that those board members who do have the ability to support themselves to do so, particularly if they have a sponsoring organization in the Drupal ecosystem.
